Banking and finances

Banking and finances are the key specialization areas of SPCG. SPCG collaborates with the leading Polish and foreign banks. The main services provided by SPCG in this field include:

  • Advising on drawing and negotiating credit facility agreements and collateral agreements concerning financing complex investments.
  • Advising foreign banks operating in Poland in relation to credit facilities to Polish businesses and other transactions, in particular regarding collaterals in the context of the Polish legal system.
  • Regular legal service provided to the Restructuring Department of the one of the leading banks with respect to enforcement and bankruptcy proceedings (including representation in numerous legal and bankruptcy proceedings).
  • Providing banks with expert legal opinions relating to various aspects of the banking law and the civil law.
  • Advising on drawing internal banking documentation, e.g. specimens of agreements and regulations.
  • Representation in complex legal disputes, e.g. representation of banks with regards to FX options and disputes related to regulatory issues with the participation of the Polish Financial Supervision Authority and the Office of Competition and Consumer Protection.
  • Advising on credit facility restructuring, including syndicated facilities.
  • Representation in bankruptcy proceedings and advising on complex enforcement.
  • Advising on regulatory matters, including prudential regulations, bank secrets, bank accounts, consumer loans, AML, outsourcing, security of receivables and general questions of the private and public banking law.
  • Representation of buyers and sellers regarding packages of receivables, including non-performing loans in securitization transactions also with the use of securitization funds.
  • Advising on share acquisition of financial institutions and representation before competent bodies (Polish Financial Supervision Authority, Office of Competition and Consumer Protection) in relation to the reporting and consent-obtaining obligations.
  • Representation in disputes related to acting as the investment fund depositary.
