On 20 December 2021, the Court of Appeal in Gdańsk, in a final judgment, dismissed in full the appeals filed by Polska Energia – Pierwsza Kompania Handlowa Sp. z o.o. (a company of the Tauron Group, “PKH”) in the proceedings brought by Talia Sp. z o.o. (a company of the Polenergia Group, “Talia”, “Company”).
Represented by SPCG, Talia sought to establish that PKH’s notices of termination of long-term agreements for the purchase of property rights and power generated in RES given to the Company were ineffective and claimed damages for non-performance of the agreements.
At first instance in the partial and preliminary judgement of 6 March 2020, the Regional Court in Gdańsk determined that PKH’s notices of termination of the long-term agreements for the purchase of property rights and power generated at the Renewable Energy Source, the Wind Farm in Modlikowice, were ineffective and did not have the legal effect of termination thereof. The Court also decided that the compensation claims asserted by Talia against PKH for non-performance of the agreement for the purchase of property rights by PKH were justified in principle. In turn, by the supplementary judgment of 8 September 2020, the Court decided that Talia’s claims for damages due to non-performance of the agreement for the purchase of power by PKH were justified in principle.
The Court of Appeal in Gdańsk, in its judgment given on 20 December 2021, dismissed the appeals against the above judgments in their entirety. Dismissing the appeals, the Court of Appeal in Gdańsk fully agreed with the position presented by the SPCG team and the Company in the replies to the appeals.
This is another judgment, entirely favourable to the clients represented by SPCG, resolving the case on its merits, which was given in disputes pending since 2015 and concerning the termination of long-term agreements for the purchase of property rights and power by PKH. At the same time, it is the first judgment resolving such a dispute on a final and binding basis.
